Union Pacific Norfolk Southern Merger

Union Pacific and Norfolk Southern are pitching an $85 billion merger that would create the first U.S. coast-to-coast freight railroad, with the companies arguing it could streamline cross-country shipping by reducing handoffs and chokepoints. In the deal’s best-case marketing reel, railcars stop doing the “Chicago costume change,” coast-to-coast transit gets simpler, and the supply chain starts acting like it has a direct flight instead of three layovers.

The unions have things to say about all this, of course. The nation's largest rail union, SMART-TD, which represents conductors and other rail workers, have secured commitments from Union Pacific to protect jobs, ensuring that no layoffs will occur as a result of the merger. Two other unions — the Brotherhood of Locomotive Engineers and Trainmen and the Brotherhood of Maintenance of Way Employees Division — announced they oppose the merger, raising concerns about safety, shipping costs, and service disruptions. The unions also voiced concerns over what consolidation can (possibly) do to standards and oversight. Both the opposing unions combined represent more than half of the rail workforce, so this isn’t a symbolic thumbs-down—it’s the kind you hear echoing down 50,000 miles of track.

Still, the sunny version of the story is that everyone’s incentives are finally pointed at the same finish line. Everyone wants faster, more reliable freight service, right? Union Pacific says a combined network could reduce interchange friction and make delivery times more competitive, while critics argue the same scale could reduce competition and tilt pricing power. The merger has become a national group project — ambitious, potentially useful, and guaranteed to inspire at least a few complaints. For now, it heads deeper into the Surface Transportation Board review process, where regulators have to decide whether this mega-combo truly serves the public interest under modern rules.
