Jersey Mike’s Serves Up A Nearly $8 Billion Valuation

Jersey Mike’s is asking Wall Street to take a bite of its sandwich empire at a valuation approaching $8 billion, although most of the shares on the menu belong to its current owners. The fast-casual chain launched the roadshow for a proposed initial public offering of 43.48 million shares Monday, with an expected price range of $21 to $25, putting the offering’s gross proceeds between approximately $913 million and $1.09 billion. Jersey Mike’s itself is issuing 13.78 million shares, while existing stockholders are selling another 29.70 million. Using the 317.6 million-share count that assumes all remaining common units are exchanged, the top of the range would give the company a market capitalization of approximately $7.94 billion. The shares are expected to trade on the New York Stock Exchange under the symbol JMKE.

The price tag comes with a substantial growth record behind it. Jersey Mike’s generated $4.3 billion in systemwide sales during 2025, while company revenue reached $724 million and net income increased to $55 million from $5 million. Nearly all its restaurants are franchised, allowing the company to collect royalties without carrying most store-level expenses. For the 13 weeks ended June 28, systemwide sales increased 10% to $1.21 billion as comparable sales rose 2.3% and net store growth reached 8.1%. The chain ended the period with 3,378 locations, up from 3,124 a year earlier. Its average restaurant generated approximately $1.4 million in annual sales during 2025, while franchisees reported average cash-on-cash returns of roughly 42%.

The IPO’s proceeds are weighted heavily toward the investors already sitting at the table. Existing stockholders account for approximately 68% of the base offering, including about 26.4 million shares being sold by Blackstone-controlled funds, and Jersey Mike’s will receive nothing from those sales. At the $23 midpoint, the company expects to collect approximately $301 million after underwriting discounts. It plans to use essentially all that money to repay $295 million of principal and $6 million of accrued interest, reducing total debt from approximately $2.12 billion to $1.83 billion on a pro forma basis. The offering therefore provides Jersey Mike’s with some balance-sheet relief while giving its private-equity owners a sizable partial exit.

Public investors would receive exposure to the company’s expansion without receiving much control over it. Blackstone is expected to retain approximately 76.5% of the voting power following the offering, leaving Jersey Mike’s classified as a controlled company under New York Stock Exchange rules. At the upper end of the range, its market capitalization would equal nearly 11 times its 2025 revenue, with roughly $1.83 billion of debt still remaining. Jersey Mike’s believes the U.S. could eventually support about 7,500 locations and sees potential for 15,000 globally over the long term. The chain may have plenty of room to keep stacking locations, but the IPO price already serves investors a generous portion of that growth in advance.
